GRP Liquidations – Terms & Conditions of Purchase

These Terms & Conditions of Purchase (“Terms”) apply to all purchases made from GRP Liquidations (“GRP,” “GRP Liquidations,” “we,” “us,” or “our”), whether made through our website, at our warehouse, by telephone, through an invoice, or through another GRP-authorized sales channel.

By purchasing merchandise from GRP Liquidations, the purchaser (“Customer,” “Buyer,” or “you”) acknowledges and agrees to the following Terms.

1. ALL SALES ARE FINAL

ALL SALES FROM GRP LIQUIDATIONS ARE FINAL.

Because GRP Liquidations sells liquidation, returned, overstock, undeliverable, unclaimed, shelf-pull, salvage, and other secondary-market merchandise, we generally do not accept returns, exchanges, cancellations, or refunds after a purchase has been completed, except where otherwise required by applicable law.

Customers should carefully review the product description, photographs, available information, and these Terms before completing a purchase.

By completing your purchase, you acknowledge that you understand the nature of liquidation merchandise and accept the risks associated with purchasing such inventory.

2. Liquidation Merchandise Has Highly Variable Condition

GRP Liquidations does not sell conventional retail inventory unless specifically stated otherwise.

The condition, packaging, completeness, functionality, age, assortment, and resale value of liquidation merchandise can vary substantially from item to item, box to box, pallet to pallet, and shipment to shipment.

Depending upon the particular inventory purchased, merchandise may include:

  • New or apparently new merchandise
  • Overstock merchandise
  • Shelf pulls
  • Customer returns
  • Undeliverable or unclaimed merchandise
  • Open-box merchandise
  • Merchandise with damaged or missing retail packaging
  • Used merchandise
  • Incomplete merchandise
  • Merchandise with missing parts, accessories, instructions, or hardware
  • Cosmetic damage
  • Merchandise requiring cleaning, testing, assembly, or repair
  • Nonfunctional or damaged merchandise
  • Older, discontinued, seasonal, or obsolete merchandise
  • Items with retail labels, shipping labels, stickers, markings, or other packaging imperfections

Unless GRP specifically guarantees a particular condition in writing for a particular product, Customers should not assume that every item will be new, complete, functional, retail-ready, or suitable for resale without additional work.

The variable nature of the merchandise is reflected in liquidation pricing.

3. No Guarantee of Individual Items

Photographs, videos, livestreams, social media content, advertisements, and other examples of merchandise are intended to illustrate the general type of inventory that may be available.

Unless a specific listing expressly states otherwise, GRP Liquidations does not guarantee that a pallet, mystery box, Gaylord, truckload, or other assortment will contain any particular:

  • Product
  • Brand
  • Category
  • Model
  • Quantity of a particular item
  • Retail value of an individual item
  • High-value or “big-ticket” item

Past pallets, boxes, customer purchases, photographs, or videos should not be interpreted as a guarantee of the contents of a future purchase.

4. Resale Value and Profit Are Not Guaranteed

Many GRP Liquidations customers purchase inventory for resale through platforms such as eBay, Facebook Marketplace, Whatnot, flea markets, auctions, bin stores, retail stores, and other sales channels.

However, GRP Liquidations does not guarantee resale value, profitability, sell-through rate, revenue, or return on investment.

Examples of customer results, potential retail values, resale opportunities, or previous successful purchases are illustrative only. Results vary based on merchandise received, product condition, selling platform, market demand, pricing, fees, shipping costs, labor, customer skill, and other factors.

The Buyer is solely responsible for determining whether merchandise is appropriate for their business and resale channels.

5. Retail Values and MSRP

Any MSRP, retail value, estimated retail value, comparable retail price, or similar figure provided by GRP Liquidations is provided for informational purposes only.

Retail prices can change and may differ substantially between retailers, marketplaces, geographic locations, and time periods.

An estimated retail value is not a guarantee that the merchandise can be sold for that amount.

6. Manifests and Inventory Information

When a manifest, inventory list, item count, category breakdown, estimated retail value, or other inventory information is provided, GRP Liquidations makes reasonable efforts to provide accurate information.

However, liquidation manifests and inventory data may originate from third-party retailers, suppliers, freight companies, liquidation sources, or automated inventory systems.

Unless specifically guaranteed in writing, manifests should be considered informational rather than a guarantee of exact contents, condition, quantity, model, value, or functionality.

Minor discrepancies may occur.

7. Mystery Boxes and Unmanifested Merchandise

Mystery boxes, unclaimed mail, undeliverable merchandise, mixed merchandise, unmanifested pallets, and similar products are intentionally sold with some or all of their contents unknown to the purchaser and, in some cases, unknown to GRP Liquidations.

The uncertainty of the assortment is an inherent part of these products.

Purchasing these products constitutes acceptance of the possibility that individual items may have significantly different values, conditions, usefulness, or resale potential.

8. Product Testing and Safety

GRP Liquidations does not necessarily individually inspect, test, authenticate, assemble, repair, or verify every item contained within bulk liquidation inventory.

Customers are responsible for appropriately inspecting and, where applicable, testing merchandise before using, gifting, or reselling it.

Buyers should not sell or use an item that they reasonably believe may be unsafe, recalled, damaged in a manner affecting safety, expired, counterfeit, improperly labeled, or otherwise unsuitable for use or resale.

The Buyer is responsible for complying with applicable laws, regulations, marketplace policies, and product safety requirements when reselling merchandise.

9. Photographs and Representative Images

Product photographs may show actual inventory, representative inventory, previously received inventory, or examples of the type of merchandise typically included in a particular liquidation program.

Unless expressly identified as photographs of the exact merchandise being purchased, images should not be interpreted as a guarantee that the Buyer will receive the exact products pictured.

10. Pallet, Gaylord and Truckload Purchases

Bulk liquidation purchases involve greater variation than conventional retail purchases.

Pallets, Gaylords, and truckloads may differ in height, weight, piece count, product mix, packaging condition, retail value, and physical dimensions.

Descriptions such as “approximately,” “average,” “typically,” “up to,” or similar language represent estimates or historical averages and are not guarantees of the exact characteristics of an individual shipment.

11. Freight, Delivery and Pickup

Customers are responsible for providing accurate shipping and delivery information and ensuring that their location can receive the type of shipment ordered.

Freight deliveries may require appropriate unloading equipment, including a loading dock, forklift, pallet jack, liftgate service, or other equipment depending upon the shipment.

Customers should inspect freight shipments upon arrival for obvious transportation damage and document significant freight damage before accepting delivery whenever reasonably possible.

Shipping and delivery estimates are estimates only unless specifically guaranteed in writing.

12. Refused and Undeliverable Shipments

Customers are responsible for ensuring they can receive their order.

Additional freight, storage, redelivery, return freight, address correction, or other carrier charges resulting from an incorrect address, refused delivery, missed delivery, lack of appropriate receiving equipment, or other customer-related delivery issue may be the responsibility of the Buyer to the extent permitted by law.

13. Order Cancellations

Orders enter processing quickly and may involve inventory allocation, freight scheduling, warehouse labor, and other costs.

Accordingly, orders generally cannot be canceled once placed.

GRP Liquidations may, at its discretion and where permitted by law, approve a cancellation before fulfillment. Any approved cancellation may be subject to nonrecoverable processing, payment, freight, or administrative costs.

14. Chargebacks and Payment Disputes

By completing a purchase, the Buyer acknowledges these Terms, including the All Sales Final policy and the inherently variable condition of liquidation merchandise.

A disagreement regarding the assortment, resale value, cosmetic condition, packaging condition, or presence of individual undesirable items within liquidation inventory does not, by itself, mean that an authorized purchase was fraudulent or unauthorized.

Nothing in these Terms limits any rights a Buyer may have under applicable law or payment-network rules.

15. Claims Regarding Incorrect Orders

The All Sales Final policy does not prevent a Customer from contacting GRP Liquidations if GRP shipped a materially different product than the product actually ordered.

For example, if a Customer purchases one defined liquidation program and GRP accidentally ships a different defined program, the Customer should contact GRP promptly with photographs and order information so the issue can be investigated.

This provision does not create a return right based solely on dissatisfaction with the individual contents or condition variation inherent in correctly supplied liquidation merchandise.

16. Reseller Responsibility

Customers purchasing merchandise for resale operate as independent businesses.

GRP Liquidations is not responsible for a Customer’s marketplace account, listing practices, selling restrictions, brand restrictions, intellectual-property complaints, shipping expenses, platform fees, advertising expenses, customer returns, taxes, or other costs associated with resale.

Buyers are responsible for determining whether particular merchandise may legally and appropriately be offered on their chosen marketplace or sales channel.

17. Assumption of Risk

By purchasing liquidation merchandise, the Buyer expressly acknowledges that liquidation purchasing involves uncertainty.

The Buyer accepts the risk that some merchandise may have significantly greater resale value than other merchandise and that some merchandise may have limited or no resale value.

The possibility of receiving damaged, incomplete, undesirable, low-value, or nonfunctional merchandise is an inherent risk of purchasing liquidation inventory and is reflected in the discounted purchase price.

18. Limitation of Warranties

To the fullest extent permitted by applicable law, liquidation merchandise is sold “AS IS” and “WITH ALL FAULTS,” except for any specific written warranty or guarantee expressly provided by GRP Liquidations for a particular product.

GRP Liquidations disclaims implied warranties to the extent such disclaimers are permitted by applicable law.

Nothing in these Terms excludes warranties, remedies, or consumer rights that cannot legally be excluded.

19. Limitation of Liability

To the fullest extent permitted by applicable law, GRP Liquidations shall not be responsible for indirect, incidental, special, consequential, or lost-profit damages arising from the purchase, possession, resale, or inability to resell liquidation merchandise.

Any limitation of liability contained in these Terms applies only to the extent permitted by applicable law.

20. Changes to These Terms

GRP Liquidations may update these Terms periodically. The Terms applicable to an order will generally be those presented or in effect when the order is placed, subject to applicable law.

21. Acceptance of Terms

By submitting an order or completing a purchase from GRP Liquidations, the Buyer confirms that they have had an opportunity to review these Terms and understand that:

ALL SALES ARE FINAL.

LIQUIDATION MERCHANDISE IS SOLD IN HIGHLY VARIABLE CONDITION.

INDIVIDUAL ITEMS MAY BE NEW, OPEN-BOX, RETURNED, DAMAGED, INCOMPLETE, USED, NONFUNCTIONAL, OR OTHERWISE NOT RETAIL-READY UNLESS THE PARTICULAR PRODUCT DESCRIPTION EXPRESSLY STATES OTHERWISE.

PRODUCT MIX, RESALE VALUE, PROFITABILITY, AND INDIVIDUAL ITEMS ARE NOT GUARANTEED.

These characteristics are inherent to liquidation merchandise and are reflected in the discounted prices at which the inventory is sold.
